End User License Agreement (EULA) for Billecta.SDK

This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Billecta AB ("Company"), a company incorporated under the laws of Sweden.
By downloading, installing, or using the SDK, you agree to be bound by the terms of this Agreement. If you do not agree, you may not use the SDK.
1. License Grant
Subject to the terms and conditions of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to:
- Use the Billecta.SDK ("SDK") solely for the purpose of developing software that integrates with the Billecta API (the "API"),
- Include and use the SDK in your own commercial or non-commercial SaaS offerings, provided that such offerings interact with the API and comply with this Agreement, and the General Terms and Conditions.
This license does not include the right to use the SDK with competing APIs or services.
2. Restrictions
Except as explicitly permitted by applicable mandatory law (e.g. Section 52d of the Swedish Copyright Act (1960:729) and Directive 2009/24/EC), you may not:
- Reverse engineer, decompile, or disassemble the SDK,
- Modify, adapt, or create derivative works based on the SDK,
- Redistribute, sublicense, sell, lease, rent, or otherwise make the SDK available to third parties as a standalone product,
- Use the SDK for any unlawful purpose or in a way that breaches the Company’s API Terms of Service.
3. Ownership
The SDK is licensed, not sold. All intellectual property rights, including but not limited to copyright and trade secrets, in and to the SDK remain the sole property of the Company.
No rights are granted to you other than those explicitly set out in this Agreement.
4. Use of the API
Use of the SDK requires access to the Company’s API. Access to and use of the API is governed separately by the General Terms and Conditions, available at: https://billecta.com
The Company may suspend or terminate access to the API if you violate this Agreement or the General Terms and Conditions.
5. Data Protection
If your application developed with the SDK processes personal data, you are solely responsible for ensuring that such processing complies with the EU General Data Protection Regulation (GDPR) and other applicable data protection laws.
6. Term and Termination
This Agreement is effective upon your first use of the SDK and shall remain in effect until terminated.
The Company may terminate this Agreement immediately if you breach any term. Upon termination, you must cease all use of the SDK and destroy all copies in your possession or control.
7. No Warranty
The SDK is provided "as is" and "as available", without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Nothing in this Agreement limits statutory rights that cannot be waived under applicable law.
8. Limitation of Liability
To the maximum extent permitted under applicable Swedish or EU law, the Company shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill, arising out of or in connection with the use of the SDK, even if advised of the possibility of such damages.
9. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of Sweden, without regard to its conflict of law rules.
Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Stockholm, Sweden, unless otherwise required by mandatory consumer protection laws.
