Commercial License Agreement

IMPORTANT: BY INSTALLING, COPYING, ACCESSING, OR USING THIS SOFTWARE, YOU AGREE TO THE TERMS OF THIS LICENSE AGREEMENT.

1. DEFINITIONS

"Software" means the CardWerk SmartCardAPI package, including its assemblies, NuGet package contents, documentation, samples, and related materials distributed by CardWerk Technologies.

"Licensee" means the individual or legal entity using the Software.

"Production Use" means any use other than evaluation, testing, or internal review.

2. LICENSE GRANT

Subject to payment of applicable fees and compliance with this Agreement, CardWerk Technologies grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to:

- install and use the Software;
- develop, build, and run applications that use the Software;
- redistribute the unmodified runtime components of the Software only as part of Licensee's own application, and only to the extent permitted by Licensee's purchased license.

3. EVALUATION AND TRIAL USE

If the Software is provided with a trial or evaluation license, Licensee may use the Software solely for internal evaluation and testing during the permitted evaluation period.

Trial or evaluation use is not licensed for Production Use.

4. RESTRICTIONS

Licensee shall not, except to the extent expressly permitted by applicable law:

- reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Software;
- modify, remove, bypass, disable, or circumvent license checks or technical protection mechanisms;
- redistribute the Software on a standalone basis;
- rent, lease, sell, sublicense, assign, or transfer the Software except as expressly permitted in writing by CardWerk Technologies;
- use the Software in violation of applicable law or regulation.

5. OWNERSHIP

The Software is licensed, not sold.

CardWerk Technologies and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights.

6. REDISTRIBUTION

Unless otherwise stated in a separate written agreement, Licensee may redistribute only those runtime components reasonably required for Licensee's application to use the Software.

Licensee may not redistribute:
- source code, unless separately licensed for source distribution;
- standalone sample code as a substitute for the Software;
- license files except as required for Licensee's authorized deployment.

7. THIRD-PARTY COMPONENTS

The Software may include or depend on third-party or platform components subject to their own license terms.

Third-party notices, if any, are provided separately. Licensee is responsible for complying with applicable third-party license terms.

8. SUPPORT AND UPDATES

Support, maintenance, updates, or upgrade rights are provided only if and to the extent included in a separate written agreement or commercial offering.

CardWerk Technologies may modify, update, or discontinue the Software at any time.

9. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CardWerk Technologies does not warrant that the Software will operate without interruption or error, or that it will meet Licensee's requirements.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CARDWERK TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF CARDWERK TECHNOLOGIES FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE LICENSE GIVING RISE TO THE CLAIM.

11. TERMINATION

This Agreement terminates automatically if Licensee breaches its terms.

Upon termination, Licensee must cease use of the Software and destroy or remove all copies not lawfully retained as part of archived backups or legal compliance records.

12. EXPORT AND COMPLIANCE

Licensee is responsible for compliance with all applicable import, export, sanctions, and regulatory requirements.

13. GOVERNING LAW

This Agreement shall be governed by the laws of the State Of Georgia (USA), excluding its conflict of laws rules.

Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Atlanta, GA, USA, unless otherwise required by applicable law.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between Licensee and CardWerk Technologies concerning the Software, unless superseded by a separate written commercial agreement.
