# DataArc.EntityFrameworkCore.SqlServer License Agreement

This software is licensed, not sold.

DataArc.EntityFrameworkCore.SqlServer is a commercial DataArc product that provides SQL Server-specific functionality including transactional bulk execution, multi-context coordination, relational model composition, and related database tooling.

Use of commercially licensed functionality provided by DataArc.EntityFrameworkCore.SqlServer requires a valid DataArc commercial entitlement.

By installing, copying, or using DataArc.EntityFrameworkCore.SqlServer, you agree to the terms of this License Agreement.

## 1. DEFINITIONS

"Software" means DataArc.EntityFrameworkCore.SqlServer and any components, assemblies, documentation, or related materials distributed by Solid Arc Software as part of the DataArc.EntityFrameworkCore.SqlServer package.

"Application" means an application, service, system, library, or other software product that uses the Software as a dependency.

"Commercial Functionality" means functionality provided through DataArc.EntityFrameworkCore.SqlServer that Solid Arc Software designates as requiring a valid commercial DataArc entitlement.

"Commercial Entitlement" means a valid license, subscription, product entitlement, server entitlement, or other commercial authorization issued or recognized by Solid Arc Software for use of the Commercial Functionality.

"Server Key" means licensing or entitlement information used by DataArc to authorize the use of Commercial Functionality within an applicable deployment or runtime environment.

## 2. COMMERCIAL LICENSE REQUIREMENT

The Software is a commercial DataArc product.

Use of Commercial Functionality requires a valid Commercial Entitlement.

A Commercial Entitlement may require configuration, registration, activation, validation, or initialization using a valid Server Key or other licensing information.

Installing, restoring, referencing, compiling against, or receiving the Software as a dependency does not, by itself, grant a Commercial Entitlement or authorize use of Commercial Functionality.

Commercial Functionality may only be used in accordance with:

* this Agreement;
* the applicable Commercial Entitlement;
* applicable subscription or order terms; and
* any additional commercial terms agreed between you and Solid Arc Software.

## 3. LICENSE GRANT

Subject to a valid Commercial Entitlement and compliance with this Agreement, Solid Arc Software grants you a non-exclusive, non-transferable, worldwide license to install and use the Software within the applications, deployments, environments, servers, or other usage boundaries permitted by that Commercial Entitlement.

The applicable Commercial Entitlement may define conditions including:

* permitted products or capabilities;
* developer rights;
* runtime and deployment rights;
* server or environment limits;
* activation or validation requirements;
* subscription periods;
* maintenance and upgrade rights;
* support rights; and
* other product-specific usage conditions.

Rights not expressly included in the applicable Commercial Entitlement are not granted.

## 4. RELATIONSHIP TO DATAARC.ENTITYFRAMEWORKCORE

DataArc.EntityFrameworkCore.SqlServer builds on functionality provided by DataArc.EntityFrameworkCore.

DataArc.EntityFrameworkCore is separately licensed and may be available for use without purchasing a commercial DataArc license under the terms accompanying that package.

Installing or using DataArc.EntityFrameworkCore does not grant rights to Commercial Functionality provided by DataArc.EntityFrameworkCore.SqlServer.

Expiration, cancellation, or absence of a Commercial Entitlement for DataArc.EntityFrameworkCore.SqlServer does not alter any rights independently granted under the license applicable to DataArc.EntityFrameworkCore.

## 5. COMMERCIAL FUNCTIONALITY

Subject to the applicable Commercial Entitlement, the Software may provide capabilities including:

* transaction-aware bulk execution;
* transactional bulk inserts and deletes;
* participation in caller-owned Entity Framework Core transactions;
* parallel transactional execution;
* transactional execution pipelines;
* multi-context command coordination;
* multi-context query composition;
* SQL Server-specific execution infrastructure;
* relational model composition;
* DataArc DDL Builder functionality; and
* database creation and coordination across supported Entity Framework Core models.

The availability of individual capabilities may vary by Software version, product edition, or Commercial Entitlement.

The presence of a capability within an assembly or package does not grant authorization to use that capability without the applicable Commercial Entitlement.

## 6. SERVER AUTHORIZATION AND VALIDATION

Commercial Functionality may require the Software to validate an applicable Server Key, entitlement, or other licensing information.

You are responsible for ensuring that licensing information supplied to the Software is valid and authorized for the applicable deployment.

You may not:

* bypass, disable, circumvent, modify, interfere with, or defeat licensing or entitlement validation;
* falsify licensing, activation, deployment, server, or entitlement information;
* use a Server Key outside the environments or deployment boundaries for which it was issued; or
* otherwise use Commercial Functionality beyond the rights granted by the applicable Commercial Entitlement.

Technical availability of functionality does not constitute a grant of licensing rights.

## 7. DISTRIBUTION

You may distribute the Software in compiled form as a dependency of an Application where such distribution is necessary for an authorized deployment and is permitted by your Commercial Entitlement.

Distribution of the Software does not transfer your Commercial Entitlement to another person or organization.

You may not:

* sell, sublicense, rent, lease, or commercially distribute the Software as a standalone product;
* provide the Software or Commercial Functionality as a competing library, framework, component, toolkit, or software product;
* repackage the Software for independent redistribution;
* represent the Software or any portion of it as your own product or intellectual property; or
* redistribute modified versions of the Software under the DataArc or Solid Arc Software name without prior written permission.

Nothing in this section prevents authorized distribution of the Software as part of an Application where such distribution is permitted by the applicable Commercial Entitlement.

## 8. RESTRICTIONS

Except where expressly permitted by this Agreement, the applicable Commercial Entitlement, or applicable law, you may not:

* reverse engineer, decompile, or disassemble the Software;
* circumvent or interfere with licensing, activation, entitlement, or validation mechanisms;
* remove, obscure, or alter copyright, trademark, licensing, attribution, or proprietary notices;
* use the Solid Arc Software or DataArc names, trademarks, logos, or branding in a manner that implies sponsorship, endorsement, ownership, or affiliation without permission;
* transfer, share, sublicense, or reuse a Commercial Entitlement outside its authorized usage boundaries; or
* use the Software in violation of applicable law.

Nothing in this Agreement limits rights that cannot lawfully be restricted under applicable law.

## 9. OWNERSHIP

DataArc.EntityFrameworkCore.SqlServer and all associated software, components, documentation, designs, code, database tooling, and intellectual property remain the property of Solid Arc Software and its applicable licensors.

The DataArc and Solid Arc Software names, trademarks, logos, and branding remain the property of Solid Arc Software.

This Agreement grants rights to use the Software only.

No ownership rights are transferred to you.

All rights not expressly granted under this Agreement are reserved by Solid Arc Software.

## 10. THIRD-PARTY COMPONENTS

The Software may depend on or include third-party software components.

Third-party components remain subject to their respective license terms.

Nothing in this Agreement modifies or replaces rights or obligations imposed by applicable third-party licenses.

## 11. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLID ARC SOFTWARE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SOLID ARC SOFTWARE DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR SUITABLE FOR EVERY APPLICATION, DATABASE, DEPLOYMENT, OR ENVIRONMENT.

## 12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLID ARC SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF OR INABILITY TO USE THE SOFTWARE.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF REVENUE, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF INFORMATION, LOSS OF GOODWILL, OR LOSS OF BUSINESS OPPORTUNITY.

## 13. TERM AND TERMINATION

Your right to use Commercial Functionality continues only while you hold the rights required by the applicable Commercial Entitlement.

Commercial rights may expire or terminate according to the applicable subscription, order, entitlement, or commercial agreement.

Your rights under this Agreement may also terminate if you materially breach its terms.

Upon expiration or termination of the applicable rights, you must cease use of Commercial Functionality that is no longer authorized.

Expiration or termination of rights relating to DataArc.EntityFrameworkCore.SqlServer does not terminate rights independently granted under licenses applicable to other DataArc packages.

## 14. FUTURE RELEASES

Solid Arc Software may change, extend, replace, discontinue, package differently, or modify the commercial licensing model of functionality in future releases of DataArc.EntityFrameworkCore.SqlServer.

The license and commercial terms applicable to a particular released version are those accompanying that version together with the applicable Commercial Entitlement.

Changes to future releases do not expand rights granted under an existing Commercial Entitlement unless Solid Arc Software expressly provides otherwise.

## 15. ADDITIONAL COMMERCIAL TERMS

Where a Commercial Entitlement, subscription agreement, order, quotation, product schedule, or other written commercial agreement establishes terms that differ from or supplement this Agreement, those terms apply to the extent specified in that agreement.
