 End User License Agreement                                                    
                                                                               
 This license agreement ("AGREEMENT") is a legal agreement between you         
 ("LICENSEE") and Elektrobit Automotive GmbH, an entity incorporated under the 
 laws of Germany and having its registered place of business at Am Wolfsmantel 
 46, 91058 Erlangen, Germany ("EB").                                           
                                                                               
 EB is the owner of, or has acquired rights to the EB GUIDE Plugin SDK         
 ("LICENSED SOFTWARE").                                                        
                                                                               
 By downloading, installing, copying, or otherwise using the LICENSED          
 SOFTWARE, LICENSEE agrees to be bound by the terms of this AGREEMENT. If you  
 do not agree or if you are not authorized to agree on behalf of your company, 
 do not download, install, copy, or use the LICENSED SOFTWARE. The LICENSED    
 SOFTWARE is protected by copyright and other intellectual property laws and   
 is licensed, not sold. If you do not agree or if you are not authorized to    
 agree on behalf of your company, you will not have a license and you may not  
 use the LICENSED SOFTWARE.                                                    
                                                                               
 In addition to the acceptance of the following license terms you may be       
 required to accept additional terms of use or an additional privacy policy    
 after installation of the LICENSED SOFTWARE in order to use the LICENSED      
 SOFTWARE.                                                                     
                                                                               
 1. GRANT OF RIGHTS                                                            
                                                                               
 1.1 Distribution of the Licensed Software. EB hereby grants to LICENSEE under 
 the EB intellectual property rights in the LICENSED SOFTWARE, a               
 non-exclusive, worldwide, irrevocable (unless terminated by EB pursuant to    
 Section 3), non-transferable, limited license, free of charge, to install     
 the LICENSED SOFTWARE on an applicable device that LICENSEE owns or controls, 
 and use the LICENSED SOFTWARE in object code format for their own,            
 individual, non-commercial purposes. This license does not allow LICENSEE to  
 distribute the LICENSED SOFTWARE. LICENSEE is not entitled and nothing in the 
 AGREEMENT grants LICENSEE a right or license to distribute the LICENSED       
 SOFTWARE or any modification thereof.                                         
                                                                               
 1.2 Open Source Components. EB and LICENSEE ("PARTIES") acknowledge that the  
 LICENSED SOFTWARE may contain open source components. For the avoidance of    
 doubt, all utilizations of open source components are governed by the         
 applicable open source licenses.                                              
                                                                               
 1.3 No Reverse Engineering; Restrictions.  Unless agreed to otherwise by the  
 PARTIES, or except as permitted in this Section�1�or required by applicable   
 mandatory law, LICENSEE shall not (i) allow others to use or access the       
 LICENSED SOFTWARE; (ii) modify, reverse engineer, decompile, disassemble      
 (except to the extent that this restriction is expressly prohibited or        
 limited by applicable law) the LICENSED SOFTWARE or create derivative works   
 of any part thereof; (iii) rent, lease, loan or otherwise transfer rights to  
 the LICENSED SOFTWARE; (iv) disclose or make available the LICENSED SOFTWARE  
 to any third party; (v) remove or obscure any notices or markings that are    
 specified by law and that are affixed on or incorporated in the LICENSED      
 SOFTWARE; (vi) combine or link or otherwise use LICENSED SOFTWARE with open   
 source components without EB�s prior written approval.                        
                                                                               
 1.4 Protection of Licensed Product. All information, data, drawings,          
 specifications, documentation, software listings, source and object code      
 (other than open source) which EB may have imparted and may from time to time 
 impart to LICENSEE relating to the LICENSED SOFTWARE is proprietary and       
 confidential. LICENSEE hereby agrees that it shall use the same solely in     
 accordance with the provisions of this AGREEMENT and that it shall not at any 
 time during or after expiry or termination of this AGREEMENT, disclose the    
 same, whether directly or indirectly, to any third party without EB�s prior   
 written consent.                                                              
                                                                               
 1.5 Reservation; Licensor Ownership. Except as expressly stated under this    
 Section�1, no other rights or licenses in the LICENSED SOFTWARE are granted   
 or conveyed to LICENSEE whether by implication, estoppel, or otherwise. All   
 rights, title and interest in the LICENSED SOFTWARE shall remain with EB or   
 its licensors.                                                                
                                                                               
 2. WARRANTY AND LIABILITY                                                     
                                                                               
 2.1 Support. EB has no duty of reasonable care and is not obligated to (and   
 will not) provide technical support for the LICENSED SOFTWARE.                
                                                                               
 2.2 Warranty. THE LICENSED SOFTWARE IS PROVIDED "AS IS", WITH NO WARRANTIES.  
 THIS MEANS NO EXPRESS, IMPLIED OR STATUTORY WARRANTY, INCLUDING WITHOUT       
 LIMITATION, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR         
 PURPOSE, ANY WARRANTY AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF THE         
 LICENSED SOFTWARE OR ANY WARRANTY OF TITLE OR NON-INFRINGEMENT. THERE IS NO   
 WARRANTY THAT THIS SOFTWARE WILL FULFILL ANY OF YOUR PARTICULAR PURPOSES OR   
 NEEDS. YOU BEAR THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE      
 LICENSED SOFTWARE. SHOULD THE LICENSED SOFTWARE PROVE DEFECTIVE, YOU ASSUME   
 THE COST OF ANY NECESSARY SERVICING, REPAIR OR CORRECTION.                    
                                                                               
 2.3 Liability. IN NO EVENT SHALL EB, ITS AFFILIATES, ITS LICENSORS OR         
 SUPPLIERS BE LIABLE FOR ANY DAMAGES, INCLUDING DIRECT, INDIRECT, SPECIAL,     
 CONSEQUENTIAL OR INCIDENTAL DAMAGES, RELATED TO OR ARISING OUT OF THE USE OF  
 THE LICENSED SOFTWARE OR INABILITY TO USE THE LICENSED SOFTWARE (INCLUDING    
 BUT NOT LIMITED TO LOSS OF DATA OR DATA BEING RENDERED INACCURATE OR LOSSES   
 SUSTAINED BY YOU OR THIRD PARTIES OR A FAILURE OF THE LICENSED SOFTWARE TO    
 OPERATE WITH ANY OTHER PROGRAMS), TO THE MAXIMUM EXTENT THE LAW PERMITS, NO   
 MATTER WHAT LEGAL THEORY IT IS BASED ON AND WHATEVER THE CAUSE THEREOF, EVEN  
 IF EB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES.          
                                                                               
 2.4 Legal Effect. If the disclaimer of warranty and limitation of liability   
 provided above under this section cannot be given local legal effect          
 according to their terms, reviewing courts shall apply local law that most    
 closely approximates an absolute waiver of all civil liability in connection  
 with the LICENSED SOFTWARE. The court should consider that this limitation of 
 relief is a part of the AGREEMENT between the PARTIES, in particular that the 
 LICENSED SOFTWARE is provided without a license fee. If, notwithstanding any  
 other provisions of this AGREEMENT, EB is found to be liable to LICENSEE for  
 any damage or loss that arises out of or is in any way connected to           
 LICENSEE�s use of the LICENSED SOFTWARE, EB�s entire liability for direct     
 damages under this AGREEMENT shall be limited to fifty euros (EUR 50.00).     
                                                                               
 3. TERM AND TERMINATION                                                       
                                                                               
 3.1 Breach of Contract, Termination.�The license granted under Section 1 is   
 subject to LICENSEE�s full acceptance of this AGREEMENT. LICENSEE�s rights    
 under this AGREEMENT terminate automatically without notice from EB if        
 LICENSEE fails to comply with any term(s) of this AGREEMENT. Upon any such    
 termination, LICENSEE shall destroy all copies of the LICENSED SOFTWARE       
 immediately. This AGREEMENT may also be terminated by EB in writing at any    
 time without cause.                                                           
                                                                               
 3.2 Effects of Termination. Any termination of the AGREEMENT by either PARTY  
 shall not relieve either PARTY of any obligation to the other PARTY arising   
 prior to termination. Upon termination, expiration or cessation, if any, (i)  
 all rights granted hereunder expire and cease immediately; (ii) LICENSEE      
 shall immediately stop all activities in relation to the applicable           
 LICENSED SOFTWARE and shall cause all its subcontractors to do the same; and  
 (iii) each PARTY must promptly return or destroy, as instructed by the other  
 PARTY, any and all confidential information of the other PARTY received       
 hereunder (including all copies and derivatives in whatever form of any such  
 information), and each undertakes not to use that confidential information    
 for any purpose. Any terms and conditions that by their nature or otherwise   
 reasonably should survive a cancellation, termination or expiry of this       
 AGREEMENT shall be deemed to survive.                                         
                                                                               
 4. MISCELLANEOUS                                                              
                                                                               
 4.1 Entire Agreement. The AGREEMENT, together with any documents referred to  
 in it, constitutes the whole AGREEMENT between the PARTIES relating to its    
 subject matter and supersedes and extinguishes any prior drafts, agreements   
 of any nature, whether in writing or orally, relating to such subject matter. 
 No modifications of the AGREEMENT shall be effective unless made in writing   
 and signed by the PARTIES.                                                    
                                                                               
 4.2 No Assignments. The AGREEMENT may neither be assigned nor transferred by  
 either PARTY without prior written consent from the other PARTY, except for   
 assignments to EB�s Affiliates or by EB to a third party in connection with a 
 merger or a sale of all or substantially all of EB�s business assets to which 
 the AGREEMENT pertains.                                                       
                                                                               
 4.3 Export Control. LICENSEE agrees to comply with export control laws and    
 regulations and to obtain licenses to export, re-export or import the         
 LICENSED SOFTWARE.                                                            
                                                                               
 4.4 Non-Waiver. No failure to exercise, nor any delay in exercising, by       
 either PARTY to the AGREEMENT of any right, power, privilege or remedy under  
 the AGREEMENT shall impair or operate as a waiver of such right, power,       
 privilege or remedy.                                                          
                                                                               
 4.5 Law and Jurisdiction. The AGREEMENT shall be governed by, construed and   
 interpreted in accordance with German law, excluding its rules for choice of  
 law and the United Nations Convention on Contracts for the International Sale 
 of Goods. Any disputes arising out of or in connection with this AGREEMENT    
 shall be finally settled in arbitration conducted under the Arbitration Rules 
 of the International Chamber of Commerce (ICC), by one arbitrator appointed   
 in accordance with the said Rules. The place of arbitration shall be          
 Nuremberg, Germany and the language to be used in such proceedings shall be   
 English. The award shall be final and binding upon the PARTIES and            
 enforceable in any court of competent jurisdiction. Nothing in this contract  
 shall be deemed to limit the right to seek interim injunctive relief or to    
 enforce an arbitration award in any court of law.                             
                                                                               
 4.6 Severability. If any provision of the AGREEMENT shall be held to be       
 illegal, void, invalid or unenforceable under the laws of any jurisdiction,   
 the legality, validity and enforceability of the remainder of the AGREEMENT   
 in that jurisdiction shall not be affected, and the legality, validity and    
 enforceability of the whole of the AGREEMENT shall not be affected in any     
 other jurisdiction.  Any provision that is held to be illegal, void, invalid  
 or unenforceable will  be replaced by a provision that most closely carries   
 out the intention of such provision but that is legal, valid and enforceable. 
                                                                               
 These license terms are effective with your implicit acceptance of this       
 AGREEMENT (as stated in the preamble). It is not necessary to sign the        
 license terms. Your acceptance is expressed by the use of the LICENSED        
 SOFTWARE. If you do not agree or if you are not authorized to agree on behalf 
 of your company, do not download, install, copy, or use the LICENSED          
 SOFTWARE.
