DeviceKit — Commercial Software License Agreement

DeviceKit is proprietary, commercial software. It is licensed, not sold.
IMPORTANT — READ CAREFULLY. This Commercial Software License Agreement (the
"Agreement") is a legal agreement between you (an individual or a single entity,
"Licensee") and Licensor for the DeviceKit software development kit, including
its libraries, binaries, and accompanying documentation (collectively, the
"Software"). By downloading, installing, copying, referencing, or otherwise using
the Software, Licensee agrees to be bound by this Agreement. If Licensee does not
agree, do not download, install, or use the Software.
1. DEFINITIONS
1.1 "Application" means a software product developed by Licensee that
incorporates the Software in object/compiled form as an integrated
component.
1.2 "Order" means a separate written or electronic ordering document,
subscription, or license agreement between Licensee and Licensor that
authorizes Licensee's use of the Software and sets out applicable fees,
scope, quantities, and term.
1.3 "Documentation" means the technical documentation Licensor makes available
for the Software.
2. LICENSE GRANT
Subject to Licensee's continued compliance with this Agreement, Licensor grants
Licensee a limited, non-exclusive, non-transferable, non-sublicensable (except
as in Section 3.2) license to:
(a) install and use the Software to develop and test one or more Applications;
(b) incorporate the Software, in object/compiled form only, into Licensee's
Applications; and
(c) reproduce and distribute the Software solely as embedded within, and as
an integral part of, Licensee's Applications to Licensee's end users.
The DeviceKit client libraries are made available free of charge; enterprise
value in the RemoteViewer Kit family is licensed on the server side (ServerKit).
3. RESTRICTIONS
3.1 Except as expressly permitted in Section 2 or by mandatory applicable law,
Licensee shall not, and shall not permit any third party to:
(a) distribute, publish, sell, rent, lease, lend, host, or otherwise make
the Software available on a standalone basis or other than as embedded
within an Application;
(b) use the Software to build or offer a software development kit, library,
API service, or product that competes with the Software or replicates
its primary functionality for third parties;
(c) sublicense, resell, or transfer the Software except as embedded in an
Application and subject to end-user terms no less protective of
Licensor than this Agreement;
(d) modify, translate, or create derivative works of the Software, or
reverse engineer, decompile, or disassemble the Software, except to the
limited extent such restriction is prohibited by mandatory law;
(e) remove, alter, or obscure any proprietary notices, labels, or marks on
or in the Software or Documentation.
3.2 Licensee's end users receive no rights in the Software other than to use it
as embedded within, and necessary to the ordinary use of, the Application.
4. OWNERSHIP
The Software is licensed, not sold. Licensor and its licensors retain all
right, title, and interest in and to the Software, including all intellectual
property rights. No rights are granted except as expressly set out herein.
5. THIRD-PARTY AND OPEN-SOURCE COMPONENTS
5.1 "Software" as licensed under this Agreement means only the DeviceKit code
authored by Licensor. It does NOT include third-party or open-source
components, which are licensed to Licensee separately, directly by their
respective licensors, under their own terms. The DeviceKit core library
("RemoteViewer.DeviceKit") has no third-party dependencies.
5.2 Certain optional companion packages declare NuGet dependencies on
third-party components. Licensor does NOT include, bundle, or redistribute
those components within the DeviceKit packages; the NuGet package manager
obtains each such component for Licensee directly from that component's own
distribution, under that component's own license. The current components are
listed in the accompanying THIRD-PARTY-NOTICES.txt (also available from
Licensor on request), and include:
(a) System.Formats.Cbor — MIT License (used by RemoteViewer.DeviceKit.Codec.Cbor);
(b) MQTTnet — MIT License (used by RemoteViewer.DeviceKit.Bridge.Mqtt);
(c) OPC Foundation UA .NET Standard stack — GNU General Public License v2.0,
or, for OPC Foundation Corporate Members, the OPC Foundation Reciprocal
Community License (used by RemoteViewer.DeviceKit.Bridge.OpcUa);
(d) RemoteViewer.ConnectKit — licensed separately by Licensor (used by
RemoteViewer.DeviceKit.ConnectKit).
5.3 The restrictions in Section 3 apply only to the Software (Section 5.1) and do
NOT purport to restrict, modify, sublicense, or override any third-party or
open-source component or the rights granted under its license. To the extent
any provision of this Agreement conflicts with the license of a given
third-party component as applied to that component, that component's license
governs with respect to that component, and this Agreement's provisions are
severed as to that component only.
5.4 In particular, the OPC Foundation UA .NET Standard stack used by the OPC-UA
bridge is licensed under GPL v2.0 (or the OPC Foundation Reciprocal Community
License for members). Licensee is solely responsible for obtaining and
complying with that license, including any obligations that may arise from
Licensee's own combination or distribution of that component within an
Application. Nothing in this Agreement grants Licensee any rights in, or
imposes any additional restrictions on, that component.
6. FEES
The DeviceKit client libraries are provided free of charge. Where an optional
component or companion product requires a valid Order, use of that component is
conditioned on the Order and payment of applicable fees.
7. TERM AND TERMINATION
This Agreement is effective until terminated. It terminates automatically and
immediately if Licensee breaches any term. Upon termination, Licensee shall
cease all use of the Software and destroy all copies in its possession or
control. Sections 3 through 10 survive termination. Termination does not, by
itself, revoke license rights already granted to end users for Applications
lawfully distributed before termination.
8. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY
KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND
NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE
ERROR-FREE, SECURE, OR UNINTERRUPTED.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LICENSOR BE LIABLE FOR
ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR
ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO
THIS AGREEMENT OR THE SOFTWARE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL AGGREGATE LIABILITY
ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF THE
FEES PAID BY LICENSEE FOR THE SOFTWARE OR USD 100.
10. GENERAL
10.1 Governing Law. This Agreement is governed by the laws of Republic of Korea,
without regard to its conflict-of-laws rules, and the parties submit to
the exclusive jurisdiction of the Seoul Central District Court.
10.2 Entire Agreement. This Agreement, together with any applicable Order, is
the entire agreement between the parties regarding the Software and
supersedes all prior or contemporaneous understandings on the subject.
10.3 Severability. If any provision is held unenforceable, the remaining
provisions remain in full force and effect.
10.4 No Waiver. Failure to enforce any provision is not a waiver of it.
