SOFTWARE LICENSE AGREEMENT

This Software License Agreement ("Agreement") is entered into by and between [Elcomponent Ltd] ("Licensor") and any individual or entity ("Licensee") who obtains, accesses, or uses the software provided by Licensor ("Software"). This Agreement governs the use of the Software.

1. LICENSE GRANT
Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the Software for lawful purposes, subject to the terms and conditions set forth in this Agreement.

2. RESTRICTIONS
Licensee shall not:
a. Modify, reverse engineer, decompile, disassemble, or create derivative works based on the Software.
b. Distribute, sublicense, lease, rent, loan, or otherwise transfer the Software to any third party.
c. Remove or alter any copyright, trademark, or other proprietary notices contained in the Software.
d. Use the Software in any manner that violates applicable laws or regulations.

3. OWNERSHIP
Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not convey any ownership rights to Licensee.

4. WARRANTY DISCLAIMER
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5. LIMITATION OF LIABILITY
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.

7. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date from 2nd April 2024.
