Read these terms before using, modifying, incorporating, or distributing
SemanticKnowledge.NET (the "Software").
1. PARTIES AND DEFINITIONS
"Licensor" means Lance Wright, as copyright holder, or a successor or
entity expressly authorized by the copyright holder to license the Software.
"You" or "Licensee" means the individual or legal entity exercising rights
under this License.
"Software" means the source code and compiled components of
SemanticKnowledge.NET distributed with this License, including authorized
modifications of that code. Independently licensed third-party components
retain their respective licenses.
"Personal Noncommercial Use" means an individual's own learning, research,
experimentation, personal documentation, and hobby projects that are not
operated for or on behalf of a business, sold, monetized, or provided as a
paid or revenue-generating service. Merely publishing a noncommercial hobby
project without charging for it does not make it commercial.
"Commercial Use" includes use by or for a business or other organization,
internal production use for commercial operations, client work, products
sold or licensed to others, and revenue-generating or monetized services.
An individual developer earning income from an application is engaged in
Commercial Use even if the developer is working alone.
"Competing Knowledge Offering" means a product or service offered to third
parties whose primary or material commercial purpose is to provide hosted
or managed wikis, documentation sites, knowledge-base publishing, or
general-purpose AI-accessible knowledge infrastructure, including MCP-based
knowledge/documentation services. A knowledge-search feature that is merely
incidental to a distinct application does not by itself make that application
a Competing Knowledge Offering.
"Competing Sayou Offering" means a product or service offered to third
parties that competes with Sayou's case-management, electronic health
record (EHR), vocational rehabilitation, supported-employment, or related
human-services operations software. This restriction applies even when
the Software is used only for an ancillary feature of that competing product.
2. FREE PERSONAL LICENSE
Subject to this License, Licensor grants an individual a limited,
non-exclusive, non-transferable, worldwide, royalty-free license to
inspect, download, reproduce, execute, and privately modify the Software
solely for Personal Noncommercial Use.
You may include the Software in a compiled, noncommercial personal or
hobby application that you distribute at no charge, provided that you
retain applicable copyright and license notices, include a copy of this
License with that application, do not distribute the Software's standalone
source code or a substitute SDK/library, and comply with Section 4.
This grant does not authorize Commercial Use, use on behalf of a business
or organization, a paid product, or either category of competing offering
defined above. A business evaluating the Software should obtain written
evaluation permission or a commercial license before using it.
3. COMMERCIAL LICENSES
Commercial Use requires a separate written commercial license or order
confirmation expressly issued by Licensor for SemanticKnowledge.NET.
Simply viewing the source code, visiting a pricing page, or making a
payment without receiving the applicable license confirmation does not
expand the free grant above.
Unless an expressly issued commercial license states otherwise, a
commercial license is intended to cover the licensed individual or
single legal entity across multiple independently developed projects;
it is not priced or restricted per application. Authorized customers
may use, privately modify, and integrate the Software into their own
non-competing applications, and may distribute compiled object-code
applications containing the Software to their end users, without
distributing the Software as a separately reusable SDK or source package.

Prices and offers displayed online are informational and may change
for future purchases. They do not amend this License or an existing

4. RESTRICTED COMPETITIVE USES
No license granted by this document or by an ordinary commercial
purchase permits you to use, integrate, modify, host, sublicense, or
distribute the Software in or for:
(a) any Competing Knowledge Offering; or
(b) any Competing Sayou Offering.
For either restricted use, you must first obtain a separate, express,
written exception or license negotiated with and signed by Licensor.
Licensor is not obligated to offer or approve an exception. General
commercial license fees and ordinary developer/business subscriptions
do not purchase these restricted rights.
This section does not prohibit otherwise authorized private internal
knowledge management by an organization, or an incidental knowledge
feature inside an otherwise non-competing commercial application.
5. OWNERSHIP, SOURCE ACCESS, AND REDISTRIBUTION
The Software is licensed, not sold. Licensor and other applicable
rights holders retain ownership of their respective copyrights and
other intellectual property. You own your independent application code
and data, but not the licensed Software.
Except for the limited compiled-application distribution permission
expressly granted above or by your separate commercial license, you may
not publish, sell, sublicense, redistribute, or provide copies of the
Software's source code, modified source code, standalone binary libraries,
or substantially equivalent repackaged SDKs to third parties. Public
forks or mirrored repositories containing the licensed source are not
authorized by this License.
You may permit contractors acting for your licensed entity to access the
Software privately only as needed for that entity's licensed work and
subject to equivalent confidentiality, use, and redistribution limits.
Your entity remains responsible for their compliance.
No right to use Licensor's or Sayou's trademarks, names, or logos is
granted, except accurate attribution required by this License.
6. CHANGES AND ADDITIONAL LICENSES
These terms apply to Software versions distributed under this License.
Later versions may be offered on different terms; a website update does
not silently change the license for a version already received.
No provision here revokes, supersedes, or diminishes rights a recipient
already holds under another valid license independently granted for a
particular copy or version of the Software.
Third-party libraries and components bundled with or used by the
Software remain governed by their own applicable licenses.
7. TERMINATION
Rights under this License end if you materially violate its conditions.
For a non-deliberate, non-competitive breach, the license is reinstated
if the breach is fully cured within 30 days after written notice from
Licensor. Deliberate restricted competitive use or intentional
unauthorized source redistribution is not covered by that automatic
cure provision. Terms concerning ownership, restricted uses,
disclaimers, and accrued claims survive termination as applicable.
8. NO WARRANTY; LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS
PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND,
EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR AND THE
SOFTWARE'S COPYRIGHT HOLDERS WILL NOT BE LIABLE FOR INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES,
OR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM THE
SOFTWARE OR THIS LICENSE, EVEN IF ADVISED OF THE POSSIBILITY.
Any separately executed commercial agreement may provide different
warranty, support, liability, or other terms to the extent it expressly
supersedes this License.
