Versa Note End-User License Agreement (EULA)
This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and CAD Innovations for the software product Versa Note, including any associated media, printed materials, and electronic documentation ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
1. License Grant
CAD Innovations grants you a non-exclusive, non-transferable, limited license to use the Software solely for your personal or internal business purposes, subject to the terms and conditions of this EULA.
2. Restrictions
You may not:
a. Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software.
b. Rent, lease, loan, sublicense, distribute, or otherwise transfer the Software to any third party.
c. Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices contained in or on the Software.
3. Ownership
The Software is licensed, not sold. CAD Innovations retains all right, title, and interest in and to the Software, including all intellectual property rights therein.
4. Support Services
CAD Innovations may provide you with support services related to the Software ("Support Services"). Any supplemental software code provided to you as part of the Support Services shall be considered part of the Software and subject to the terms and conditions of this EULA.
5. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from CAD Innovations if you fail to comply with any term(s) of this EULA. Upon termination of this EULA, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.
6. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. CAD INNOVATIONS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.
7. Limitation of Liability
IN NO EVENT SHALL CAD INNOVATIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
8. Governing Law
This EULA shall be governed by and construed in accordance with the laws of [Jurisdiction], excluding its conflicts of law principles.
9. Entire Agreement
This EULA constitutes the entire agreement between you and CAD Innovations regarding the subject matter hereof and supersedes all prior or contemporaneous understandings and agreements, whether written or oral.
10. Severability
If any provision of this EULA is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
